What is the difference between the Articles of Amendment and Restated Articles of Incorporation?
The Articles of Amendment (Form DC-3) is submitted to amend Articles of
Incorporation on file at the Department. Corporations that, in separate
filings, have amended sections of the original Articles of Incorporation,
can use the Restated Articles of Incorporation (Form DC-4) to restate the
articles of incorporation so that there is only one document to reference in
the future. It should be noted that Form DC-4 cannot contain any new
amendments. It merely combines the original document and any amendments
already on file into one document.
The Amended and Restated Articles of Incorporation (Form DC-5) is the correct form to submit amendments AND restated articles of incorporation.
